These Terms set the rules for using Astra's research, clinical reasoning, documentation, and medical education tools.

Agreement and scope

These Terms of Use (the “Terms”) are a binding agreement between you and Astraeus Intelligence LLC (“Astra,” “we,” “us,” or “our”). They govern your access to and use of Astra's websites, applications, accounts, subscriptions, Research, Reason, Write, Master and QBank features, referral features, support, and related services (collectively, the “Service”).

By creating an account, purchasing or starting a subscription or trial, clicking an acceptance control, or otherwise accessing the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service for a hospital, clinic, university, employer, or other organization, you represent that you are authorized to accept these Terms for that organization. A signed order form, Business Associate Agreement (“BAA”), Data Processing Addendum, enterprise agreement, or other written agreement may add to or modify these Terms. The more specific written agreement controls to the extent of a direct conflict.

Eligibility, authority, and accounts

You must be at least 18 years old and able to enter a binding contract. The Service is intended for healthcare professionals, medical trainees, students, researchers, and other authorized adult users. It is not directed to children or offered as a consumer emergency-care service.

  • Provide accurate, current account and billing information and keep it updated.
  • Keep credentials, devices, multifactor-authentication methods, and API access secure.
  • Do not share an individual account or allow another person to act under your identity.
  • Notify us promptly of suspected unauthorized access, disclosure, or credential compromise.
  • Remain responsible for activity under your account except to the extent caused by Astra's breach of these Terms.

Organization administrators may manage organization-controlled accounts, access settings and records as permitted by the organization’s agreement, and suspend or remove users. Your organization may impose additional policies that also govern your use.

Clinical limitations and professional responsibility

Astra is not a healthcare provider or emergency service.

The Service does not establish a clinician-patient relationship, independently diagnose or treat a patient, replace professional judgment, or provide emergency care. Call emergency services or follow your institution’s emergency procedures when urgent care may be needed.

Astra provides research assistance, clinical decision support, documentation assistance, and educational tools. Unless expressly identified in a separate written agreement, the Service is not offered as a regulated medical device and is not designed to operate as an autonomous clinical system.

A qualified professional must independently review every output before it is used in a chart, order, diagnosis, treatment plan, care pathway, patient communication, handoff, examination, or other consequential setting. You—not Astra—are responsible for the final clinical decision, documentation, communication, supervision, and compliance with professional standards, scope-of-practice rules, institutional policy, and applicable law.

Students and trainees must use Astra under the supervision and rules required by their institution. QBank questions, explanations, performance estimates, and adaptive recommendations are educational only; they do not guarantee examination eligibility, performance, certification, licensure, placement, or employment.

AI outputs, citations, and source verification

Artificial-intelligence and retrieval systems are probabilistic. Outputs may be incomplete, inaccurate, ambiguous, outdated, internally inconsistent, or inappropriate for a particular patient or context. They may omit relevant evidence, misstate source content, generate unsupported material, or produce the same or similar content for different users.

Before relying on an output, you must independently verify, as applicable:

  • patient identity, history, allergies, medications, examination findings, laboratory values, imaging, and other facts;
  • differential diagnoses, red flags, contraindications, interactions, dose and unit calculations, monitoring, and disposition;
  • the existence, currency, relevance, methodology, limitations, and actual text of cited sources;
  • clinical guidelines, formulary requirements, local policy, regulatory status, and standard of care; and
  • the accuracy, completeness, attribution, coding, and legal sufficiency of any draft documentation.

Source rankings, summaries, links, favicons, and inclusion in a source list do not constitute endorsement of a publisher or guarantee that a source is available, complete, current, or suitable for a particular use.

Acceptable use

You may use the Service only lawfully, within your authorized role, and in accordance with these Terms. You may not:

  • use Astra as the sole basis for diagnosis, prescribing, treatment, triage, emergency response, or another high-impact decision;
  • submit information you lack authority, permission, or a lawful basis to process;
  • use the Service to impersonate a person, falsify a record, facilitate academic or professional misconduct, or misrepresent AI-generated material as independently verified;
  • attempt to gain unauthorized access, probe or bypass security or usage controls, introduce malicious code, disrupt the Service, or abuse authentication, billing, referral, or trial systems;
  • scrape, harvest, systematically extract, resell, sublicense, or create a competing dataset or service from the Service except as expressly permitted in writing;
  • reverse engineer or attempt to discover non-public source code, models, prompts, security controls, or system architecture except where a prohibition is unenforceable by law;
  • use outputs or the Service to develop, train, benchmark, or improve a competing model or service without our written permission;
  • infringe intellectual-property, privacy, publicity, confidentiality, contractual, or other rights; or
  • use the Service in a way that is unlawful, discriminatory, deceptive, harmful, or reasonably likely to create patient-safety or security risk.

We may investigate suspected misuse using the minimum information reasonably necessary and may preserve relevant records when required for security, fraud prevention, legal compliance, or enforcement.

HIPAA, PHI, and regulated data

Do not submit Protected Health Information (“PHI”) unless Astra has expressly activated your account or organization for HIPAA use in writing, an applicable BAA is in effect, and the specific feature and workflow are identified as approved. A BAA between Astra and one of its vendors does not by itself make your account, every feature, or every workflow HIPAA-enabled.

Research may transmit a reduced search query to an external retrieval provider. Automated identifier reduction is a risk-reduction control, not a guarantee of HIPAA deidentification. Unless Astra expressly approves Research for PHI in your governing written agreement, do not enter PHI into Research. Use only the minimum necessary information in any approved workflow.

You and any organization controlling your account are responsible for lawful collection and disclosure, patient and workforce authorizations, minimum-necessary determinations, role and access administration, endpoint and network security, workforce training, record-integrity review, notices, consent, retention, incident reporting, and all obligations that remain with a covered entity or business associate.

Where a BAA applies, the BAA controls Astra's handling of PHI. If no BAA applies, these Terms and the Privacy Policy govern. Do not send PHI, passwords, secret keys, or payment-card data through ordinary support email.

Customer Content and data use

“Customer Content” means prompts, clinical narratives, notes, files, images, audio, transcripts, QBank activity, feedback tied to submitted content, and other information you or an authorized organization submit to the Service, together with outputs generated specifically in response.

As between you and Astra, you or the controlling organization retain your rights in Customer Content. You grant Astra a limited, non-exclusive right to host, transmit, reproduce, transform, and otherwise process Customer Content only as reasonably necessary to provide, secure, maintain, support, bill for, and legally administer the Service; follow authorized instructions; and comply with applicable law.

Astra does not use Customer Content for advertising, behavioral profiling, unrelated analytics, unrelated research, model training, human evaluation, or unrelated product improvement. We do not claim ownership of Customer Content. The Privacy Policy, any applicable BAA, and any organization agreement describe retention, disclosure, rights, and additional controls.

You represent that you have all rights, permissions, notices, authorizations, and lawful bases needed for Astra to process Customer Content as described. You are responsible for the accuracy, legality, quality, and integrity of Customer Content and for maintaining any source record or backup your professional or legal obligations require.

Security and confidentiality

We use administrative, technical, and physical safeguards designed for the nature of the Service. No internet transmission, software, or storage system is guaranteed to be completely secure or uninterrupted. You must use available security controls, limit access to authorized users, secure devices and browsers, sign out of shared devices, and promptly report suspected incidents.

If you discover a vulnerability, do not access, copy, alter, retain, or disclose another person’s data. Stop testing and report the issue to outreach@astramd.org. Do not include PHI or sensitive credentials in the initial email.

Third-party services and external content

The Service may rely on or link to model providers, databases, scientific publishers, web-retrieval services, payment processors, authentication providers, infrastructure providers, email services, browsers, app stores, and other third parties. Their services, content, availability, and separate terms are outside Astra's control.

Opening a citation, source, payment portal, or other external link sends your browser to that third party. You are responsible for reviewing its terms, privacy notice, licensing restrictions, and clinical suitability. Astra is not responsible for third-party content, acts, omissions, outages, changes, or security except to the extent responsibility cannot lawfully be excluded.

Subscriptions, billing, cancellation, and taxes

Paid plans are recurring subscriptions unless the checkout page or a written agreement says otherwise. You authorize Astra and its payment processor to charge the displayed price, applicable taxes, and disclosed fees to your selected payment method at each billing interval until cancellation.

  • Current plan features, limits, billing interval, and price are shown before purchase and may vary by account, region, promotion, or written agreement.
  • You must cancel before the next renewal date to avoid the next charge. Cancellation ordinarily takes effect at the end of the current paid period.
  • Except where law, the checkout terms, or a written agreement requires otherwise, charges are nonrefundable and partial periods are not prorated.
  • We may correct billing errors and may suspend paid features for failed, reversed, disputed, or overdue payments.
  • You are responsible for taxes other than taxes based on Astra's net income, unless valid exemption documentation is accepted.

We may change future prices or plan features with advance notice required by law. A price change applies no earlier than a future renewal unless you expressly agree otherwise. Manage or cancel a Stripe-billed subscription through the customer portal made available in Astra.

Trials, discounts, and referral programs

Eligible new subscribers may receive a 14-day trial when shown at checkout. Unless you cancel before the trial ends, the selected paid subscription automatically begins and the payment method is charged. Trial eligibility may be limited by person, account, organization, payment method, or prior use, and we may revoke a trial obtained through misrepresentation or abuse.

Promotion and referral codes are subject to the terms shown when applied. They may be limited to eligible plans, users, regions, periods, or one code per subscription; may not be sold, duplicated, or combined unless permitted; and may be suspended for fraud, error, abuse, refund, chargeback, or violation of these Terms.

Referral-partner commissions and manual cash payouts are governed by the partner’s accepted referral terms or separate written agreement and Astra's validated ledger. Pending amounts may be subject to a hold period and may be reversed for refunds, disputes, chargebacks, fraud, duplicate attribution, or invalid transactions. Dashboard estimates are not bank balances or a promise of payment independent of the governing partner terms.

Service ownership and license

Astra and its licensors own the Service, including its software, design, interfaces, branding, compilation, workflows, and non-public materials, excluding Customer Content and third-party content. Subject to these Terms, Astra grants you a limited, personal or internal-business, non-exclusive, non-transferable, revocable right to access and use the Service during your authorized subscription or access period.

If you voluntarily submit general ideas or suggestions that do not contain Customer Content, PHI, or confidential information, you grant Astra permission to use that general feedback without restriction or compensation. This feedback clause does not permit Astra to use Customer Content for training, evaluation, research, advertising, or unrelated product improvement.

Service changes, limits, and availability

We may maintain, update, replace, add, or remove non-material features and may impose reasonable usage, storage, rate, or safety limits. We may temporarily interrupt the Service for maintenance, security, legal compliance, vendor changes, or circumstances beyond our reasonable control. We do not guarantee that every feature, source, model, or integration will remain available or that the Service will be error-free or uninterrupted.

If we materially reduce the core functionality of a prepaid plan, we will provide any notice, remedy, or refund required by law or the applicable written agreement. Beta, preview, experimental, or free features may be changed or discontinued at any time and may have additional limitations.

Suspension and termination

You may stop using the Service at any time and may cancel a paid subscription as described above. We may suspend or terminate access when reasonably necessary to address a material breach, security or patient-safety risk, unlawful activity, fraud, nonpayment, sanctions or export restrictions, vendor or legal requirement, or threat to the Service or another person.

When practical and safe, we will provide notice and an opportunity to cure. On termination, your access rights end, but payment obligations already incurred and provisions that by their nature should survive—including ownership, disclaimers, liability limits, indemnity, dispute terms, and lawful retention obligations—remain in effect. Data export and deletion are governed by the applicable plan, written agreement, Privacy Policy, BAA, and law.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS, SOURCES, AND BETA FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ASTRA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ASTRA DOES NOT WARRANT THAT AN OUTPUT IS CLINICALLY APPROPRIATE, CURRENT, UNIQUE, ERROR-FREE, OR SUITABLE FOR A PARTICULAR PATIENT; THAT A CITATION SUPPORTS A CLAIM; THAT THE SERVICE SATISFIES A PROFESSIONAL, REGULATORY, REIMBURSEMENT, DOCUMENTATION, EXAMINATION, OR INSTITUTIONAL REQUIREMENT; OR THAT USE WILL PRODUCE A PARTICULAR RESULT.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability and indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRA'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ASTRA FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. THE LIMIT APPLIES IN THE AGGREGATE ACROSS ALL THEORIES OF LIABILITY.

The exclusions and limits do not apply to liability that cannot lawfully be limited, and a controlling signed agreement may state different limits. The allocation of risk in this section is a material basis of the bargain.

To the extent permitted by law, you will defend, indemnify, and hold harmless Astra and its affiliates, officers, employees, and contractors from third-party claims, damages, judgments, penalties, and reasonable costs arising from your Customer Content; your unlawful or unauthorized use; your violation of these Terms; or your professional, clinical, academic, employment, or business decisions, except to the extent caused by Astra's breach, gross negligence, or willful misconduct. We will provide reasonable notice and allow you to control the defense, subject to our right to participate and to approve a settlement that imposes liability, admission, or obligation on Astra.

Disputes and general terms

Before filing a formal claim, you and Astra agree to send written notice describing the dispute and requested resolution and to attempt in good faith to resolve it for at least 30 days. This requirement does not prevent either party from seeking urgent injunctive relief or meeting a legal filing deadline.

These Terms are governed by Delaware law, without regard to conflict-of-law rules. Unless a controlling written agreement says otherwise, the state and federal courts located in Delaware have exclusive jurisdiction, and you and Astra consent to personal jurisdiction and venue there. Mandatory consumer protections in your place of residence remain unaffected where they cannot lawfully be waived.

You may not assign these Terms without our written consent. Astra may assign them in connection with a merger, acquisition, financing, corporate reorganization, or sale of all or substantially all relevant assets, subject to applicable privacy and contractual obligations. Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms, the Privacy Policy, and any controlling written agreement are the complete agreement concerning the Service and replace prior discussions on that subject.

We may update these Terms to reflect changes in the Service, law, security, or business practices. We will post the revised version and update the effective date, and we will provide additional notice or seek acceptance when required. Material changes apply prospectively. Continued use after a change becomes effective constitutes acceptance to the extent permitted by law.
